A. Introduction

Welcome to AZEKA! This website is located at https://www.AZK.HK(the “Site” or “Website”) and is owned and operated by AZEKA (“AZEKA”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern: (a) your access to and use of the Site; (b) any text, graphics, media, data, information, and other materials or content contained on or provided through the Site (collectively, “Content”); (c) any orders or purchases made through the Site; and (d) all other content, products, or services we provide to you.

By using the Site, you: (A) represent and warrant that: (I) you have reached the age of majority in your jurisdiction, (II) you are capable of entering into binding obligations, and (III) all information you provide to us through the Site is true, accurate, current, and complete; and (B) agree to be bound by and comply with these Terms of Service. Subject to these Terms of Service, we grant you a worldwide, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the Site, allowing you to access, copy, download, and print materials on the Site for personal and non-commercial use, provided you do not modify or delete any copyright, trademark, or other proprietary notice appearing on any materials you access, copy, download, or print. Any other use of the Site’s Content, including but not limited to modification, distribution, transmission, performance, broadcast, publication, uploading, licensing, reverse engineering, transfer, or sale of any materials, information, software, products, or services obtained from the Site, or creation of derivative works, or use of the Site for purposes competitive with AZEKA, is expressly prohibited.

1. Account Registration

To access certain features of the Site, you may need to successfully register a user account and obtain login credentials, including your email address and a chosen password (“Login Credentials”). By registering and using the Site, you agree to provide true, accurate, current, and complete information about yourself.

2. Account Security

You are responsible for safeguarding your password. You agree that you will be responsible for any and all statements made, and acts or omissions that occur, through the use of your Password. If you have reason to believe or become aware that your password is lost, stolen, or used without authorization, you must notify AZEKA immediately. Unless AZEKA receives written notice, AZEKA may assume that any communications received under your password are made by you.

3. Account Termination

We reserve the right to disable any Login Credentials issued to you at our sole discretion at any time. If we disable your Login Credentials, you may be unable to use certain features of the Site. AZEKA reserves the right to refuse or cancel anyone’s registration with the Site, remove anyone from the Site, or prohibit anyone from using the Site.

E. Conduct on the Website

You, or a third party acting on your behalf, may not frame the Site or use our proprietary marks as meta tags without our prior written consent. You may not use framing or utilize framing techniques to enclose any Content on the Site without AZEKA’s express prior written consent. Furthermore, you may not use any Site Content in any meta tags or any other “hidden text” techniques without AZEKA’s express prior written consent.

You may not use contact information provided on the Site for unauthorized purposes, including marketing. You may not use any hardware or software intended to damage or interfere with the proper operation of the Site, or to secretly intercept any system, data, or personal information from the Site. You agree not to interrupt or attempt to interrupt the operation of the Site in any way.

You shall not (and shall not attempt to):

Send, upload, collect, transmit, store, use, publish, or otherwise communicate any data, information, pictures, videos, music, or other materials or content through the Site that:

1. Contains any computer viruses, worms, malicious code, or any software intended to damage or alter computer systems or data.

2. You have no legal right to send, upload, collect, transmit, store, use, publish, or otherwise communicate.

3. Is false, deliberately misleading, or impersonates any other person.

4. Is bullying, harassing, abusive, threatening, vulgar, obscene, or offensive, or contains pornography, nudity, or graphic or gratuitous violence, or promotes violence, racism, discrimination, prejudice, hatred, or physical harm of any kind against any group or individual.

5. Is harmful to minors in any way or targets minors.

6. Violates any applicable law, or infringes, violates, or misappropriates any third party’s intellectual property or other rights (including any moral rights, privacy rights, or publicity rights).

7. Encourages any conduct that could violate applicable laws or result in civil or criminal liability.

8. Disables, overburdens, damages, or otherwise interferes with servers or networks connected to the Site (e.g., a denial of service attack).

9. Attempts to gain unauthorized access to the Site.

10. Uses any data mining, robots, or similar data gathering or extraction methods, or copies, modifies, reverse engineers, reverse assembles, decompiles, or disassembles the Site or any part thereof, or otherwise attempts to discover any source code.

11. Uses the Site for the purpose of building similar or competing products or services.

12. Uses the Site in any manner other than as permitted by these Terms of Service.

G. User-Submitted Materials

You acknowledge that you are responsible for any materials you submit via the Site, including the legality, reliability, appropriateness, originality, and copyright of any such material. You further agree that AZEKA is free to use any ideas, concepts, know-how provided by you or individuals acting on your behalf to AZEKA. You grant AZEKA and its affiliates the right to use the name you submit in connection with such material, at their discretion. You represent and warrant that you own or otherwise control all rights to the content you post; the content is true, complete, and accurate; the use of the content you provide does not violate these provisions and will not cause injury to any person or entity; and you will indemnify and hold AZEKA and its affiliates harmless from all claims arising from the content you provide.

Certain content, features, and functionality on the Site may be owned and operated by third parties (collectively, “Third-Party Providers”). I. Accuracy, Completeness, and Timeliness of Website Information

AZEKA is not responsible if information made available on this Site is not accurate, complete, or current. The materials on the Site are provided for general information only and should not be relied upon as the sole basis for making decisions without consulting more accurate, more complete primary sources of information. Any reliance on the materials on the Site is at your own risk. The Site may contain certain historical information, which is provided for reference only. You are hereby informed that AZEKA has adopted and reasonably implemented a policy that provides for the termination, in appropriate circumstances, of subscribers and account holders of the AZEKA system or network who are repeat infringers of copyright. K. Product Sales Terms

1. Payment

By using an accepted credit card or other payment method, you represent and warrant that you are authorized to use your designated payment method and authorize us (or our third-party payment processor) to charge your order’s total amount (including any applicable taxes and other charges) to that payment method. If your designated payment method cannot be verified, is invalid, or is otherwise not acceptable, your order may be suspended or cancelled. You must resolve any problem we encounter to proceed with your order.

2. Product Availability and Pricing

All products offered on the Site (“Products”) are subject to availability, and we reserve the right to impose quantity limits on any order, reject all or part of an order, and discontinue offering certain products without prior notice. Product prices are displayed in Renminbi (CNY). Furthermore, product prices are subject to change at any time, but changes will not affect any product orders you have already placed.

If a product is out of stock, we may still accept your order. However, we will not ship the product to you until it becomes available and we are able to fulfill your order, at which time we will charge you for the product according to your chosen payment method. You may cancel your order before we ship it to you without charge. We also have the right to cancel your order for any reason at any time before shipping it to you.

3. Sales Tax

We calculate and collect sales tax on orders as required by applicable law.

4. Transfer of Title and Resale Restrictions

Products purchased on this Site are intended for end-users only and may not be resold without authorization. Title to products purchased on this Site passes to the purchaser upon our delivery to the freight carrier, and we are not responsible for any loss or damage to products occurring in transit.

Product prices do not include shipping, handling, or other applicable charges. Our shipping charges and methods are as described on the Site from time to time. You will defend, indemnify, and hold us and all our officers, directors, employees, and agents harmless from any claim, cause of action, demand, recovery, loss, damage, fine, penalty, or other cost or expense (including reasonable legal and accounting fees) arising out of or relating to: (a) your breach of these Terms of Service; (b) your violation of any law or the rights of a third party (including but not limited to privacy or intellectual property rights); or (c) your use of a product in a manner not designed or intended, as described in these Terms of Service and any instructions or guidelines we provide to you.

P. Export Restrictions

You agree to comply with all applicable import and export laws and regulations. AZEKA reserves the right, in its sole and absolute discretion, to change any part of these Terms of Service at any time by posting revised terms on the Site. If we make material changes to the Terms of Service, notice of the changes will be posted on the home page of the Site, and the revised terms will become effective thirty (30) days after posting.

R. Governing Law and Dispute Resolution

Chinese law governs these Terms of Service and your use of the Site, and you irrevocably agree to the exclusive jurisdiction of the courts of China for any action arising out of these Terms of Service or use of the Site. Any dispute shall be submitted to the Hainan Arbitration Commission in China for arbitration in accordance with its current rules. The language of the arbitration shall be Chinese, and the arbitral award shall be final.

S. Electronic Communications

You consent to our communicating with you electronically, including by email, SMS, or notices on the Site. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal, regulatory, rule, or requirement, including that such communications be in writing.

T. General Terms

These Terms of Service, the sales conditions posted on the Site, and any policies or operating rules posted on the Site constitute the entire agreement and understanding between you and AZEKA concerning its subject matter and supersede all prior or contemporaneous communications and proposals, whether oral, written, electronic, or other, between the parties concerning such subject matter. A printed version of these Terms of Service shall be admissible in judicial or administrative proceedings based on or relating to the use of the Site to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

3. Force Majeure

We are not liable for any failure to perform or delay in performing any obligation under these Terms of Service caused by acts or omissions beyond our reasonable control, including but not limited to acts of God, strikes, third-party or other industrial action, civil commotion, riot, terrorist attack, war, fire, explosion, storm, flood, earthquake, epidemic, or other natural disaster, impossibility of the use of public or private telecommunications networks or railways, shipping, aircraft, motor transport, or other means of public or private transport.

U. SMS Service Terms

1. User Opt-In

You consent to receive automated promotional and personalized marketing text messages (including SMS/MMS) from AZEKA on a recurring basis, such as cart reminders. These messages may be sent via an automatic telephone dialing system to the mobile number you provided upon registration or another number you designate. You represent and warrant that the number provided is owned by you and you are the authorized user of that number. Receiving marketing messages is not a condition of purchase.

2. User Opt-Out

To opt out of this service, reply with any of the following keywords to a message we send: STOP, END, CANCEL, UNSUBSCRIBE, or QUIT. You will receive a confirmation message acknowledging your opt-out.

3. Service Content

This service includes marketing and promotional information, order confirmation, logistics tracking, customer support services, and transaction-related reminders. If your device does not support MMS, the system will automatically send an SMS instead.

4. Service Disclaimer

This service is provided “as is” with no guarantee of availability in all regions. Changes in carrier networks may cause service interruptions. Support for all mobile devices is not guaranteed, and successful reception in all areas is not guaranteed.

5. Age Restriction

Use of this service is prohibited for individuals under the age of 13. Users aged 13 to 18 must obtain permission from a parent or guardian.

6. Dispute Resolution

Any disputes shall be submitted to the Hainan Arbitration Commission in China for arbitration in accordance with its current rules. The language of the arbitration shall be Chinese, and the arbitral award shall be final.
